1. Introduction

Welcome to SatelliteAI, operated by On Beat Digital LLC ("On Beat Digital," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the SatelliteAI website, mobile application, APIs, and related services (collectively, the "Service").

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

• You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use SatelliteAI
• By using the Service, you represent that you have the legal capacity to enter into these Terms and that all information you provide is accurate

3. Account Registration

To access certain features, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You agree to notify us immediately of any unauthorized access or security breach.

4. Use of the Service

You may use the Service only for lawful purposes and in accordance with these Terms.

You agree not to:

• Reverse engineer, decompile, or copy any part of the Service
• Circumvent or disable security features
• Use the Service to infringe, harass, or violate others' rights
• Interfere with the Service's operation or overload its infrastructure

We reserve the right to suspend or terminate your account if you violate these Terms or applicable law.

5. Subscription Plans and Payments

Certain features require a paid subscription.

• All fees are stated in U.S. Dollars unless otherwise noted and are non-refundable except as required by law
• By subscribing, you authorize On Beat Digital (or its payment processor) to charge your chosen payment method for recurring billing until you cancel
• You can manage or cancel your subscription in your account settings or by contacting privacy@satelliteai.io

6. Intellectual Property

All content, software, designs, analytics models, logos, and trademarks within SatelliteAI are the exclusive property of On Beat Digital LLC or its licensors.

7. User Content

You retain ownership of content you upload or create using SatelliteAI ("User Content").

By submitting User Content, you grant On Beat Digital a worldwide, non-exclusive, royalty-free license to host, process, analyze, and display that content solely to provide the Service to you.

8. Data Security and Compliance

We maintain industry-standard security controls, including:

• Encryption in transit and at rest
• SOC 2 and ISO 27001 alignment
• HIPAA-adjacent safeguards

For regulated-industry clients, optional compliance configurations (21 CFR Part 11 e-signature, blockchain audit trails, BAAs, and data-residency options) are available by agreement.

9. Service Availability and Updates

• We aim for high availability but do not guarantee uninterrupted access
• We may modify, suspend, or discontinue any feature without prior notice
• We are not liable for delays, outages, or data loss resulting from third-party failures or maintenance

10. Termination

You may terminate your account at any time.

We may suspend or terminate your access if you breach these Terms, misuse the Service, or engage in conduct harmful to other users or our systems.

Upon termination, your right to use the Service stops immediately. Sections 6, 7, 8, 11–15 will survive termination.

To the fullest extent permitted by law, On Beat Digital and its affiliates, officers, employees, or partners are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.

Our total liability for any claim shall not exceed the amount paid by you to use the Service during the preceding 12 months.

You agree to indemnify and hold harmless On Beat Digital LLC from any claim or demand (including reasonable attorney fees) arising from your use of the Service, your User Content, or violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law principles.

Any dispute shall be resolved through binding arbitration in Fort Collins, Colorado, under the rules of the American Arbitration Association (AAA).

Each party waives the right to participate in class actions or jury trials.

15. Changes to These Terms

• We may update these Terms from time to time
• If we make material changes, we will notify you via email or in-app message
• The "Last Updated" date above reflects the current version
• Continued use of the Service after updates constitutes acceptance
